Winvia Entertainment, a UK-based operator in the prize draw sector, has finalized a deal to acquire key assets and the trade of two companies: The Online Giveaway Guys and Win Life Competitions. The transaction values the businesses at approximately £19.1 million ($25.35 million), based on adjusted EBITDA metrics that include deferred and contingent payments.

On Monday, Winvia announced the signing of an asset purchase agreement, which will see the firm acquire the brands and operational assets of The Giveaway Guys and Win Life. Importantly, the deal does not entail taking on any liabilities, cash balances, or trade receivables from the target companies.

The agreement involves an initial cash payment of £15.47 million at closing, complemented by deferred payments totaling £3.63 million payable a year later. Additionally, an earn-out payment will be factored in based on adjusted EBITDA achievements for the twelve months ending on the second anniversary of the deal, calculated as 2.1 times the adjusted EBITDA minus the deferred consideration.

The financial terms hinge on a projected adjusted EBITDA of £4.25 million for the twelve months ending June 30, 2026, alongside gross revenue expectations of £30.3 million for the same timeframe. Winvia plans to utilize its existing cash resources to finance the acquisition, which is set to finalize by the end of October 2026, contingent upon the transfer of key supplier agreements.

Mihai Manoila, Winvia’s CEO, commented, "This acquisition represents another significant step in delivering our strategy to build a leading position in the UK prize draw market. TOGG and Win Life are high-quality brands with strong customer engagement, attractive economics, and significant growth potential. We see opportunities to leverage Winvia’s proprietary technology platform and operational expertise to enhance performance and drive growth."

The company expects this acquisition to boost its earnings in the first full financial year following completion, and plans to incorporate some employees from the acquired firms into Winvia’s broader team. Plans also include integrating the new brands into Winvia’s technology infrastructure, streamlining operations, and developing subscription options to enhance revenue streams.

The Giveaway Guys was launched in 2020, alongside Win Life, which has established a niche in campervan prize competitions and boasts a recurring revenue model. Winvia has highlighted the value of the acquisition in terms of strong customer loyalty and established marketing avenues, which align with its goals in the UK prize draw industry.

Earlier in the year, Winvia initiated a prize draw tailored for Aston Villa fans named "Villa Win," which marked the first significant B2B launch of its Best of the Best (BOTB) prize-draw system. This initiative drew over 9,000 registered users in its debut month, September 2026.

The company’s performance in the first half of the year reflects a robust upward trend, with gross revenue from the prize draw segment increasing over 15% to more than £41 million. Winvia began trading on the London Stock Exchange at the end of 2025. For the six months concluding on June 30, 2026, Winvia posted a group net revenue of £109.7 million, up 43% from the previous year’s £76.9 million. Its adjusted EBITDA grew to £17.2 million from £16 million reported during the same period in 2025.

Manoila noted that the company's recent acquisitions have positioned it favorably for the latter half of 2026, hinting at further mergers and acquisitions (M&A) prospects in the rapidly evolving UK prize draw market. "With the benefits of our investment beginning to emerge and further M&A and B2B opportunities under discussion, we are well-placed to deliver further growth," he stated.

Recent changes in the UK prize draw competition market are significant. An August report by consultancy Rokker revealed that M&A activity in the sector exceeded £220 million as of that month. The report highlighted Winvia's purchases of BOTB for £45.3 million in 2023, Click Competitions for £16.4 million in 2025, and Rev Comps for £11.8 million in 2026, all of which have driven considerable consolidation within the industry.
