Winvia Entertainment, a prominent operator in the UK prize draw sector, has reached an agreement to acquire key assets and trade operations of two prize-draw businesses: The Online Giveaway Guys (trading as The Giveaway Guys) and Win Life Competitions.

The acquisition values the two businesses combined at a total of up to £19.1 million ($25.35 million), factoring in an adjusted EBITDA multiple alongside deferred and contingent payments.

As part of an asset purchase agreement (APA) finalized on Monday, Winvia will take on the brands and operational assets of both companies without assuming any financial liabilities, cash balances, or trade receivables. The deal stipulates an immediate cash payment of £15.47 million upon completion, along with a deferred amount of £3.63 million due one year later. Additionally, an earn-out payment contingent on the adjusted EBITDA will be made, calculated as 2.1 times the achieved adjusted EBITDA for the 12 months ending on the second anniversary of the deal, minus the deferred consideration.

The agreement relies on an anticipated adjusted EBITDA figure of £4.25 million for the period concluding on June 30, 2026, with projected gross revenues during that time at £30.3 million.

Winvia plans to finance the acquisition through its existing cash reserves. To finalize the transaction, the successful transfer of key supplier agreements is necessary, with expected completion by the end of October 2026.

Mihai Manoila, Winvia’s CEO, emphasized the importance of this acquisition in establishing a stronger foothold in the UK prize draw market. He described The Giveaway Guys and Win Life as high-quality brands with significant customer engagement and growth prospects. Manoila highlighted that the acquisition would not only expand Winvia's market reach but also provide opportunities to utilize Winvia's proprietary technology to enhance operations and foster growth.

Winvia anticipates that the acquisition will positively impact earnings in the full financial year following the deal’s completion, with some employees from the acquired brands integrating into Winvia’s workforce. The operational strategy involves incorporating these new brands into Winvia's technology framework, automating various processes, and creating subscription-based offerings to diversify revenue streams.

The Giveaway Guys, launched in 2020, along with Win Life, which specializes in campervan prizes, has built a solid customer base and recurring revenue model. Winvia outlined that the strategic advantage of the acquisition lies in the robust customer engagement and established marketing channels that both brands possess, aligning with Winvia's growth plans in the UK prize draw sector.

Earlier this year, Winvia introduced a prize-draw exclusive to Aston Villa fans called "Villa Win," marking a significant deployment of its BOTB (Best of the Best) prize-draw system and attracting over 9,000 registered users within its first month in September 2026.

In related financial news, Winvia's H1 earnings report indicated that its prize-draw segment saw over a 15% increase in gross revenue, exceeding £41 million. The company began trading on the London Stock Exchange at the end of last year. For the six months ending June 30, 2026, Winvia reported a group net revenue of £109.7 million, reflecting a 43% increase from £76.9 million during the same period the previous year, and the adjusted EBITDA rose to £17.2 million from £16 million in H1 2025.

Manoila noted that recent acquisitions and investments have positioned Winvia favorably for the latter half of 2026, hinting at further merger and acquisition prospects as well as growth opportunities within the fragmented UK prize draw market.

Recent market trends indicate a significant transformation in the UK prize draw competitions sector, with M&A investments exceeding £220 million as noted in a white paper by consultancy Rokker. This report highlighted Winvia's strategic acquisitions, including BOTB for £45.3 million in 2023, Click Competitions for £16.4 million in 2025, and Rev Comps for £11.8 million in 2026, as key contributors to the sector's consolidation.
