Winvia Acquires Giveaway Guys to Expand UK Prize Draw Market Position

Winvia Entertainment, a UK-based operator in the prize draw sector, has announced its agreement to acquire The Online Giveaway Guys, operating as The Giveaway Guys, alongside Win Life Competitions. This acquisition is valued at up to £19.1 million ($25.35 million) based on an adjusted EBITDA multiple, which includes contingent and deferred payments.

According to an asset purchase agreement (APA) finalized on Monday, Winvia will take over the brands and operational assets of both businesses without assuming any liabilities or existing cash balances. The deal includes an immediate cash payment of £15.47 million upon completion and an additional deferred payment of £3.63 million payable within one year.

Additionally, an earn-out payment is contingent upon the adjusted EBITDA over the 12 months ending on the second anniversary of the acquisition’s completion. This payment will be calculated as 2.1 times the adjusted EBITDA achieved, less the deferred consideration.

The deal is predicated on an adjusted EBITDA target of £4.25 million set for the period ending June 30, 2026, with projected gross revenue of £30.3 million for the same timeframe. Winvia plans to finance the acquisition using its available cash resources. Completion is contingent upon the successful transfer of key supplier agreements and is expected to occur by the end of October 2026.

Mihai Manoila, Winvia’s CEO, commented on the acquisition, stating, "This acquisition represents another significant step in delivering our strategy to build a leading position in the UK prize draw market. TOGG and Win Life are high-quality brands with strong customer engagement, attractive economics and significant growth potential."

He also indicated that this move will enhance Winvia’s scale and market reach and provide opportunities to use Winvia's proprietary technology platform to boost performance and growth.

Post-acquisition, Winvia anticipates that the transaction will enhance earnings in the first full financial year. Some employees from the acquired companies will be integrated into Winvia's larger workforce. Plans following the acquisition include aligning the new brands with Winvia’s technology platform, automating processes, and creating subscription-style offerings to support recurring revenues.

The Giveaway Guys, established in 2020, and Win Life, which specializes in campervan prizes, both enjoy a base of recurring revenue. Winvia emphasizes that this acquisition's strategic value stems from the strong customer engagement and effective marketing channels of the acquired brands, which fit within Winvia's growth objectives in the UK prize-draw sector.

Earlier this year, Winvia introduced a prize draw for Aston Villa fans, named "Villa Win," marking the initial major deployment of its BOTB (Best of the Best) prize-draw system and attracting over 9,000 registered users in its debut month, September 2026.

In its recently released H1 earnings report, Winvia revealed that revenue from its prize-draw segment grew more than 15% to surpass £41 million. The company began trading on the London Stock Exchange at the end of the previous year.

For the six months ending June 30, 2026, Winvia recorded a group net revenue of £109.7 million, representing a 43% increase compared to £76.9 million during the same period in the prior year, while adjusted EBITDA rose to £17.2 million from £16 million in H1 2025.

Mihai Manoila noted that the company’s strategic investments and acquisitions have positioned it well for further growth in the latter half of 2026, hinting at potential additional M&A opportunities in the dispersed UK prize draw market.

Recent months have seen significant changes in the UK prize draw competitions market. A white paper by consultancy Rokker from August reported that M&A spending in this sector exceeded £220 million by that month. The report highlighted Winvia’s strategic acquisitions, including BOTB (£45.3 million, 2023), Click Competitions (£16.4 million, 2025), and Rev Comps (£11.8 million, 2026), which have driven substantial consolidation in the industry.
