GiG Software Plans €8.5 Million Raise to Acquire 888Africa

GiG Software plc, a gaming platform provider listed in Stockholm, has unveiled its intention to acquire an 80% interest in 888Africa, a venture previously managed by Evoke, for a total consideration of up to €16.4 million.

This announcement was made on Wednesday. Since its separation in 2023, GiG has focused solely on B2B operations and aims to raise €8.5 million (approximately $9.92 million) through a directed share issue to finance this acquisition.

The directed share issue will involve offering shares to select investors instead of all existing shareholders, coupled with convertible loan agreements. The board opted for this approach due to its quicker execution, lower transaction costs, and minimized risk of negatively impacting the trading price of GiG’s securities.

The proceeds from this share offering are intended to cover an upfront payment of around €6 million for the acquisition, with the remainder allocated for general corporate purposes. The purchase includes deferred compensation estimated at about €10.4 million.

GiG characterized 888Africa as a “cash-generative, profitable, fast-growing B2C operator in Africa.” The company forecasts that the combined entity could generate revenues between €44 million and €48 million by 2026, with an adjusted EBITDA in the range of €5 million to €7 million. These expectations hinge on 888Africa’s complete integration, projected to begin in the last quarter of 2026.

Evoke will retain the 20% stake in 888Africa and remain involved in its management, while it is simultaneously being acquired by Bally’s Intralot in a £243.1 million all-share transaction that will merge the operations into Bally’s Intralot.

Bally’s Intralot CEO Robeson Reeves has shown interest in several of Evoke’s brands and markets, including Italy, Romania, and parts of the UK retail sector, which Evoke has downsized recently. During a press briefing in June, Reeves indicated there were no plans to divest Evoke’s additional assets unless an extraordinarily high offer was presented.

Evoke launched 888Africa in 2022 by licensing its 888 brand to pursue growth within Africa's emerging market. In August 2023, 888Africa expanded further through the acquisition of BetLion, a regulated gaming operator active since 2019 in Kenya and Zambia. 888Africa, however, withdrew from ten African markets in 2025 as part of a restructuring effort and ahead of Evoke’s strategic review aimed at divesting the group.

As of December 2, 2025, residents in Angola, Bolivia, Burkina Faso, Cameroon, Kenya, Mozambique, Nigeria, Republic of Congo, Democratic Republic of Congo, and Somalia found their accounts with William Hill inactive, preventing them from placing bets.
