Lottomatica and CIRSA Boards Approve Merger Plans

On October 8, Lottomatica Group S.p.A. and CIRSA Enterprises, S.A. revealed their merger plans, with Lottomatica set to acquire the Spanish company. Under this agreement, CIRSA will dissolve as an independent entity, integrating all its assets, liabilities, and legal obligations into Lottomatica without undergoing liquidation.

If the dividends for 2026 are not distributed before the merger becomes effective, CIRSA will increase its exceptional dividend. Post-merger, Lottomatica’s management will propose dividends for shareholders that ensure parity for 2026.

Guglielmo Angelozzi will continue as chairman and CEO of Lottomatica, which will retain its name and headquarters in Rome. Laurence Van Lancker will serve as deputy CEO and chief finance officer. Meanwhile, Antonio Hostench Feu and Antonio Grau Folguera will remain as CEO and CFO, respectively, of CIRSA.

Antonio Hostench Feu expressed his commitment, stating, "The CIRSA team is fully committed to the success of this transaction and looks forward to working alongside our colleagues at Lottomatica to unlock its full potential and build an even stronger business."

The merger plan, along with BDO’s report and supporting documents, are available on both companies' websites and will also be submitted to the Companies’ Register of Rome. The companies anticipate that the merger will be finalized in the second quarter of 2027.
