Evoke Shareholders Endorse Bally's Intralot £243M Acquisition

Evoke shareholders have overwhelmingly endorsed a proposed £243 million acquisition by Bally’s Intralot. In a recent meeting, an impressive 99.63% voted in favor, while only 0.37% opposed the deal.

Additional court proceedings on the same day yielded similar support, with 30 out of 31 shareholders backing the proposal. The final verdict is still pending from the High Authority Committee (HAC).

Should it receive approval, the acquisition would integrate Evoke, the parent of major brands like William Hill, 888, and Mr Green, into Bally’s Intralot. This newly formed entity is anticipated to rank among the top operators in the UK, both in client base and revenue. The completion of the transaction is projected for late 2026 or early 2027, as outlined by the Gibraltar Companies Act 2014.

Bally’s Intralot announced its decision to acquire Evoke in June, signaling the strategic move to expand its footprint. Under the proposed agreement, Evoke shareholders would receive 0.537 shares in Intralot for each share they hold in Evoke, representing an approximate value of €0.60 per Evoke share based on Intralot's share price of €1.12 at the time of the announcement.

Evoke Chairman Mark Summerfield noted that the board considered various options in light of increased UK gambling taxes, including the Remote Gaming Duty hike from 21% to 40%, ultimately favoring the acquisition.

This shareholder endorsement follows Bally’s Intralot's Q2 2026 earnings report, which highlighted a significant year-on-year revenue rise of 20.5%, moving from €568 million to €684 million. Additionally, CEO Robeson Reeves confirmed that there are no plans to sell Evoke or any specific assets following the acquisition.
